Terms of Service
Welcome to CPMBid.com ("CPMBid," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our advertising network platform, website, and related services (collectively, the "Platform"). By registering for an account, accessing, or using the Platform, you ("User," "you," "Advertiser," or "Publisher") agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Definitions
- "Advertiser" — any User who purchases advertising inventory, campaigns, or traffic through the Platform.
- "Publisher" — any User who monetizes their website, app, or traffic by displaying ads served through the Platform.
- "Ad Inventory" — the digital space made available by Publishers for displaying Advertiser content.
- "Account" — the registered profile a User creates to access the Platform.
- "Content" — any ad creative, landing page, script, or material submitted by an Advertiser.
2. Eligibility
2.1. You must be at least 18 years old and legally capable of entering binding contracts to use the Platform.
2.2. You must provide accurate, current, and complete information during registration and keep it updated.
2.3. CPMBid reserves the right to refuse, suspend, or terminate any Account where there is reasonable cause, including but not limited to: violation of these Terms, suspected fraud, non-payment, providing false registration information, or activity that harms the Platform or other Users.
3. Account Registration & Security
3.1. Each User is responsible for maintaining the confidentiality of their login credentials.
3.2. You are solely responsible for all activity that occurs under your Account.
3.3. One entity/individual may not operate multiple Accounts without prior written approval from CPMBid, except where multi-account access is explicitly granted for agency or network partners.
3.4. Notify us immediately of any unauthorized use of your Account.
4. Advertiser Terms
4.1. Campaign Setup. Advertisers may create campaigns priced on a CPM (cost-per-mille), CPC (cost-per-click), or CPA (cost-per-action) basis, or a combination thereof, as selected during campaign creation.
4.2. Account Funding. CPMBid operates on a prepaid basis only. Advertisers must deposit funds into their Account before launching any campaign. No campaign will be activated on credit or deferred billing.
4.3. Minimum Deposit. The minimum initial deposit to start a campaign is $100 USD. This minimum is subject to change at CPMBid's discretion, with notice provided to Users.
4.4. Ad Approval. All campaigns are subject to manual review by the CPMBid team before going live — no campaign is auto-approved. CPMBid reserves the right to reject, pause, or remove any Content that violates these Terms, applicable law, or our internal quality standards, and may request revisions before approval.
4.5. Refund Policy.
- Any unused, remaining balance in an Advertiser's Account is eligible for a refund upon request.
- Spent/used balance is non-refundable under any circumstances — this includes spend already applied to delivered impressions, clicks, or actions.
- All refund requests are subject to review by the CPMBid support team, who will determine in their sole discretion whether the request is legitimate (e.g., verifying no policy violation, chargeback abuse, or fraudulent funding source) before processing.
- Approved refunds will be issued to the original payment method where possible, or via an alternative method agreed upon with support.
4.6. Prohibited Content. While CPMBid supports a broad range of verticals (including but not limited to adult, dating, gambling/betting, sweepstakes, nutra, crypto, software/utilities, and finance), Advertisers are solely responsible for ensuring:
- Content complies with the laws and advertising regulations of every country/region targeted in the campaign.
- Content is not run in jurisdictions where that vertical (e.g., gambling, adult content, cryptocurrency promotions) is restricted or illegal.
- Any required licenses, age-gating, or disclaimers for regulated verticals (gambling, adult, pharma, crypto, etc.) are in place.
CPMBid reserves the right to geo-restrict, block, or remove any campaign found violating a targeted country's laws, without liability to the Advertiser.
4.7. Absolutely Prohibited (No Exceptions, Any Jurisdiction):
- Child sexual abuse material (CSAM) or any content sexualizing minors.
- Malware, viruses, ransomware, or exploit kits.
- Phishing, identity theft, or credential-harvesting schemes.
- Content promoting terrorism, human trafficking, or violent extremism.
- Content infringing third-party intellectual property rights.
4.8. Billing. Advertisers agree to pay all fees associated with active campaigns from their prepaid balance. Campaigns will automatically pause if the Account balance is depleted, and will not resume until additional funds are deposited.
4.9. Fraud Monitoring. CPMBid actively monitors for invalid traffic, bot activity, and click fraud. Advertisers will not be charged for traffic confirmed as invalid by our fraud detection systems, subject to internal review.
5. Publisher Terms
5.1. Ad Placement. Publishers may integrate CPMBid ad tags/scripts on approved websites, apps, or traffic sources, subject to our review.
5.2. Traffic Quality. Publishers must not generate traffic through:
- Bots, scripts, click farms, or automated tools.
- Incentivized clicks/views without prior written approval.
- Misleading placements (e.g., disguising ads as system notifications).
- Any technique designed to artificially inflate impressions, clicks, or conversions.
Violation may result in withheld earnings, Account suspension, and forfeiture of pending payments.
5.3. Content Restrictions. Publisher sites/apps must not primarily host or promote content in violation of Section 4.7 above. Additionally, CPMBid reserves the right to reject Publisher inventory that is illegal in the Publisher's home jurisdiction or the jurisdiction of its primary audience.
5.4. Earnings. Publisher earnings are calculated based on verified, valid impressions, clicks, or actions, as applicable to the pricing model (CPM/CPC/CPA) of the campaigns served. CPMBid reserves the right to adjust reported earnings due to detected invalid traffic, refunds, or chargebacks from Advertisers.
6. Publisher Payments
(For Advertiser account funding and refunds, see Section 4.2–4.5 above.)
6.1. Minimum Payout Threshold. The standard minimum payout threshold is $25 USD. This threshold is subject to change at CPMBid's discretion, with reasonable notice provided to Users.
6.2. Payment Methods. Payments may be issued via PayPal, bank wire transfer, cryptocurrency, or other methods made available on the Platform. Available methods may vary by region and are subject to change.
6.3. Payment Timing. Standard payment requests are processed within 1–30 days of request, depending on the payment method, verification requirements, and Account standing. Select, verified Publishers may be eligible for daily payment options at CPMBid's sole discretion, based on account history, volume, and internal review.
6.4. Withholding. CPMBid reserves the right to withhold, delay, or reverse payments in cases of suspected fraud, invalid traffic, chargebacks, policy violations, or pending investigation.
6.5. Taxes. Users are solely responsible for reporting and paying any taxes applicable to their earnings or expenditures on the Platform.
7. Fraud, Abuse & Enforcement
7.1. CPMBid employs automated and manual fraud detection systems to monitor traffic quality on both the Advertiser and Publisher sides.
7.2. Accounts found engaging in fraudulent activity (fake traffic, fake leads, ad stacking, cookie stuffing, incentivized non-disclosed traffic, etc.) may face immediate suspension, forfeiture of earnings, and permanent termination.
7.3. CPMBid reserves the right to pursue legal remedies against Users who cause financial harm to the Platform or its partners through fraudulent activity.
8. Intellectual Property
8.1. All Platform technology, branding, software, and design are the property of CPMBid and protected by applicable intellectual property laws.
8.2. Advertisers retain ownership of their ad Content but grant CPMBid a limited license to display, distribute, and cache such Content for the purpose of ad delivery.
8.3. Publishers retain ownership of their websites/apps but grant CPMBid a limited license to serve ads on their approved inventory.
9. Disclaimers & Limitation of Liability
9.1. The Platform is provided "as is" and "as available" without warranties of any kind, express or implied.
9.2. CPMBid does not guarantee uninterrupted service, specific traffic volumes, specific earnings, or specific campaign performance.
9.3. To the maximum extent permitted by law, CPMBid's total liability for any claim arising from use of the Platform shall not exceed the total fees paid or payable by/to the User in the three (3) months preceding the claim.
9.4. CPMBid is not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
10. Indemnification
You agree to indemnify, defend, and hold harmless CPMBid, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your Content, your violation of these Terms, or your violation of any applicable law.
11. Termination
11.1. Either party may terminate their Account at any time, subject to settlement of any outstanding balances or obligations.
11.2. CPMBid may suspend or terminate an Account without prior notice where there is legitimate reason to do so — such as violation of these Terms, suspected fraud, invalid traffic, non-payment, or legal/regulatory requirements. We aim to notify Users of the reason for suspension where possible, except where doing so would interfere with a fraud investigation.
11.3. Upon termination, any pending Publisher payments below the minimum payout threshold, or associated with fraudulent activity, may be forfeited.
12. Changes to These Terms
CPMBid reserves the right to modify these Terms at any time. Material changes will be communicated via the Platform or registered email. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law & Dispute Resolution
13.1. These Terms are governed by the laws of the United States, without regard to conflict-of-law principles.
13.2. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to binding arbitration or the exclusive jurisdiction of courts as specified in a separate jurisdiction clause to be finalized by CPMBid's legal counsel.
